These Terms of Service ("Terms") govern your access to and use of MessengerKit, operated by Razorback Technologies Private Limited ("we", "us", or "our"). By accessing or using MessengerKit, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using MessengerKit, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our service.

2. Description of Service

MessengerKit is a platform that provides visibility, governance, and operational tools for messaging groups. Currently supporting Telegram with more platforms coming soon, the service includes:

  • Message aggregation and search across connected messaging groups
  • Member management and moderation tools
  • Alerts and notification features
  • Task and action management
  • Retention and audit capabilities
  • AI-powered features (where enabled)

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using MessengerKit on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use.

4. Acceptable Use

You agree not to:

  • Use MessengerKit for any unlawful purpose
  • Violate any applicable laws, regulations, or third-party rights
  • Monitor groups or individuals without proper authorisation or consent where required by law
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the service
  • Reverse engineer or attempt to extract source code
  • Use the service to send spam or unsolicited communications
  • Impersonate any person or entity
  • Use automated systems to access the service without permission

5. Messaging Platform Integration

5.1 Permissions

MessengerKit operates within the permissions granted by each messaging platform's API. You are responsible for ensuring you have appropriate rights and permissions to connect groups and access messages.

5.2 Compliance

You must comply with the Terms of Service of any messaging platform you connect to MessengerKit (such as Telegram). We are not responsible for any violations of third-party platform policies.

5.3 Platform Availability

MessengerKit currently supports Telegram, with additional messaging platforms planned. Platform availability may change over time.

6. Data and Privacy

6.1 Your Data

You retain ownership of the data you submit through MessengerKit. By using the service, you grant us a limited licence to process your data as necessary to provide the service.

6.2 Consent

If you are monitoring communications of others, you are responsible for obtaining any necessary consents and complying with applicable privacy and data protection laws.

6.3 Data Processing

Our collection and use of data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Subscription and Payment

7.1 Plans

MessengerKit offers various subscription plans with different features and pricing. Plan details are available on our website.

7.2 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorise us to charge your designated payment method for all applicable fees.

7.3 Refunds

Subscription fees are generally non-refundable, except where required by law or at our sole discretion.

7.4 Price Changes

We may modify our pricing with 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

8. Intellectual Property

8.1 Our Rights

MessengerKit and its original content, features, and functionality are owned by Razorback Technologies Private Limited and are protected by intellectual property laws.

8.2 Limited Licence

We grant you a limited, non-exclusive, non-transferable licence to access and use MessengerKit for your internal business purposes, subject to these Terms.

9. Disclaimer of Warranties

MessengerKit is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Razorback Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or related to your use of MessengerKit. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Razorback Technologies Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of MessengerKit or violation of these Terms.

12. Termination

12.1 By You

You may terminate your account at any time through your account settings or by contacting us.

12.2 By Us

We may suspend or terminate your access to MessengerKit at any time, with or without cause, with or without notice.

12.3 Effect of Termination

Upon termination, your right to use MessengerKit will immediately cease. Provisions that by their nature should survive termination will survive.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes. Your continued use of MessengerKit after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding MessengerKit.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

15.3 Waiver

Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
